These Terms & Conditions (“Terms”) govern your access to and use of the website, the B1aQK Business Directory, and any related services (together, the “Service”) provided by B1aQK (“B1aQK”, “we”, “us”). By using the Service you agree to these Terms.
1. Who you are contracting with
You are contracting with B1aQK. If you are using the Service on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms. If you are an individual, you confirm you are of legal age in your jurisdiction.
2. The Service
B1aQK provides a public directory that helps people discover Black-owned businesses, along with related community content and tools. Business owners may submit listings, which appear publicly after payment (where applicable) and review.
3. Accounts & accuracy
You must provide accurate information, keep it up to date, and maintain the confidentiality of your account credentials. You are responsible for activity that occurs under your account.
4. Acceptable use
You must not misuse the Service. In particular, you must not:
- Use the Service in any way that is unlawful, fraudulent, or misleading;
- Submit spam, harassment, hate content, or content that infringes third-party rights;
- Introduce malware, probe or scan the Service for vulnerabilities without authorisation, or attempt to bypass any technical restriction;
- Scrape or copy the Service other than through features we make available;
- Impersonate any person or business, or misrepresent your affiliation with one.
5. Intellectual property
The Service, including its software, design, text, logos, and branding, is owned by B1aQK or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Service in accordance with these Terms. You may not reverse engineer the Service, resell or redistribute it, or circumvent its technical limits.
You retain ownership of content you submit (for example, business descriptions, logos, images). You grant B1aQK a worldwide, non-exclusive, royalty-free licence to host, display, and process that content solely to operate and promote the Service.
6. Payments — Stripe
Directory listing payments are processed by Stripe, our payment processor. By submitting a paid listing, you agree to Stripe's terms and privacy practices in addition to these Terms. B1aQK does not store your full card details.
All directory listing fees are non-refundable. You may cancel your subscription at any time to stop future billing, but charges already paid are not refundable. For full details, see our Refund Policy.
7. Subscriptions & renewals
Paid business listings are offered on a recurring subscription basis (monthly or annual) at the price shown at checkout. Subscriptions renew automatically at the end of each billing period unless cancelled beforehand. You can cancel via your Stripe billing portal or by contacting us. Applicable taxes are added at checkout where required.
8. Service level & warranties
We work hard to keep the Service running smoothly, but we do not guarantee that it will be uninterrupted, timely, secure, or error-free. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
To the fullest extent permitted by law, B1aQK’s aggregate liability arising out of or in connection with these Terms is capped at the amounts you paid to us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or special damages, including loss of profits, revenue, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded under applicable law (for example, fraud, death, or personal injury caused by negligence).
10. Indemnity
You agree to indemnify and hold B1aQK harmless from claims arising out of content you submit, your unlawful use of the Service, or your breach of these Terms.
11. Suspension & termination
We may suspend or terminate your access to the Service if:
- You materially breach these Terms;
- Payment for a paid listing fails and is not resolved;
- We reasonably believe your use creates a security, fraud, or legal risk;
- You repeatedly or seriously violate our policies (including acceptable use).
You may stop using the Service and cancel any paid listing at any time. On termination, sections of these Terms that by their nature should survive (including IP ownership, disclaimers, limitation of liability, and governing law) will continue to apply.
12. Consequences of termination
When your access ends, we may delete or archive your account content after a reasonable period. You are responsible for exporting or preserving anything you want to keep before termination takes effect.
13. Changes to the Service or Terms
We may update the Service and these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
14. Governing law & disputes
These Terms are governed by the laws of the United States and the State of Texas, without regard to conflict-of-laws principles. The courts located in Texas have exclusive jurisdiction, except where mandatory local law provides otherwise.
15. Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, outages, or acts of government.
